1. Acceptance of Terms

By using FlashFile AI (the "Service"), operated by Side Quest Adventure LLC ("we," "us," "our"), and by submitting an order, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. What We Are (and Are Not)

FlashFile AI is a document preparation and filing service. We are not a law firm or a CPA firm, we do not provide legal, tax, or financial advice, and your use of the Service does not create an attorney-client relationship. For advice about your specific situation, consult a licensed attorney or accountant. For complex ownership structures, regulated industries, or foreign owners, we recommend professional counsel.

3. The Service

We prepare your Kentucky Articles of Organization (per KRS 275.025) based on the information you provide, review them, and submit them to the Kentucky Secretary of State. Optional add-ons (EIN application assistance, operating agreement template, registered agent service, annual report filing) are provided only if selected and paid for.

4. Fees, the State Fee, and Refunds

  • Our service fee is $99 (or as stated at checkout), charged for our preparation and filing work.
  • The $40 Kentucky state filing fee is a government charge paid to the Secretary of State on your behalf. It is a pass-through with no markup and is non-refundable once submitted to the state.
  • Because work begins promptly, our service fee is non-refundable once we have started preparing your documents. If you cancel before we begin, we will refund the service fee less any non-refundable deposit and any third-party costs already incurred.
  • Veteran-owned filings: Kentucky may waive the state fee under KRS 14A.2-165. Eligibility is determined and verified by the state, not by us.

5. Your Responsibilities

  • You agree to provide accurate, complete, and lawful information.
  • You are responsible for the legality and accuracy of your chosen business name and any certifications you make (including veteran-owned status, which is a certification to the Commonwealth).
  • Name availability is not guaranteed. Kentucky files names first-come, first-served, and a name search is not a guarantee the name will be available at filing.

6. No Guarantee of Outcome or Timing

Processing times and approval are controlled by the Kentucky Secretary of State and other agencies, not by us. We make reasonable efforts to submit promptly but do not guarantee any specific processing time, approval, or business result.

7. Third-Party Services

We rely on third parties including the Kentucky Secretary of State, the IRS, our form/intake provider, and our payment processor. Their terms and processing times apply. We are not responsible for the acts or omissions of third parties or government agencies.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

9. Limitation of Liability

To the fullest extent permitted by law, our total liability arising out of or relating to the Service will not exceed the amount of the service fee you paid to us. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for government fees, taxes, or penalties.

10. Indemnification

You agree to indemnify and hold harmless Side Quest Adventure LLC and FlashFile AI from claims arising out of the information you provide, your certifications, or your use of the Service.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law rules. Venue for any dispute lies in Madison County, Kentucky.

12. Changes

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
